Terms of Service for Unista Applications

Welcome to the Unista family of applications, including but not limited to SpendGuard and Mediator (collectively referred to as the “Services”). These Terms of Service (“Terms”) govern your access to and use of any Unista-developed software products or platforms that connect to third-party marketing or business data services. By accessing or using any Unista application, you agree to be bound by these Terms.

1. Description of Service

Unista provides software tools that enable secure, permission-based access to external data platforms for the purpose of analysis, automation, auditing, and data integration.

  • SpendGuard enables users to analyze and audit marketing spend.

  • Mediator acts as a secure API gateway to relay permissioned marketing data between source platforms and approved destinations or services.

Both Services (and any future applications offered by Unista LLC) interact only with third-party platforms explicitly authorized by the user and never post content or perform actions on a user’s behalf.

2. Eligibility

You must be at least 18 years old and authorized to act on behalf of a business entity to use Unista applications. By using the Services, you confirm that you meet these requirements.

3. Account Access and Authentication

Use of the Services may require authentication via third-party platforms (e.g., Google, Facebook). You are solely responsible for safeguarding your login credentials and any API tokens or access rights issued through these platforms. Unista is not liable for unauthorized access due to credential misuse.

4. Data Usage and Privacy

We access only the data explicitly authorized by you via OAuth or other secure methods. Your data is:

  • Not sold or shared with unauthorized parties.

  • Used only to provide the functionality of the Services.

  • Stored only temporarily, unless otherwise required to support a feature of the platform or comply with legal obligations.

5. Data Deletion Requests

You may request deletion of any data we have accessed or stored on your behalf.

To do so, please email contact@unista-llc.com with the subject line:
“Data Deletion Request – [Your App Name]”

Your request will be processed within 30 days, unless retention is required by law or contractual obligation.

6. Acceptable Use

You agree not to:

  • Use the Services for any unlawful, malicious, or unauthorized activity.

  • Attempt to reverse engineer, exploit, or disrupt the Services.

  • Misuse third-party API access (e.g., rate-limit circumvention or impersonation).

  • Resell or repackage Unista Services without written consent.

7. Use of Third-Party APIs

Unista Applications integrate with third-party APIs, including but not limited to:

  • Google Ads, Display & Video 360 (DV360), Search Ads 360 (SA360) – subject to the Google APIs Terms of Service.

  • Facebook (Meta) Ads and Marketing APIs – subject to the Meta Platform Terms.

  • Additional sources (e.g., TikTok, LinkedIn, Twitter, The Trade Desk) as added by user authorization.

Your use of these integrations is also subject to the terms and privacy policies of the respective platforms.

Unista LLC is not affiliated with or endorsed by any third-party platform unless explicitly stated.

8. Intellectual Property

All software, trademarks, designs, and content within the Services are the property of Unista LLC. You retain ownership of your data, but grant Unista a limited license to access, use, and process that data as required to deliver the Services.

9. Termination

Unista reserves the right to suspend or terminate access to any Service at its discretion, including for:

  • Violation of these Terms

  • Abuse of platform access or rate limits

  • Security or compliance concerns

10. Disclaimers

The Services are provided “as is” without warranty of any kind. Unista disclaims all warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of Liability

To the fullest extent permitted by law, Unista LLC shall not be liable for any indirect, incidental, or consequential damages arising from your use of or inability to use the Services, including but not limited to data loss, platform outages, or third-party API changes.

12. Modifications to These Terms

We may update these Terms at any time. If changes are significant, we will notify users via the platform or email. Continued use of any Service after the effective date of revised Terms constitutes acceptance of those changes.
